1. Introduction
These Terms and Conditions govern the provision of property management services by Bloomhood Solutions Limited (“the Company”) to clients, including strata corporations, homeowners’ associations (HOAs), and gated communities.
By engaging our services, the client agrees to these Terms, which establish the rights, responsibilities, and obligations of both parties in the administration and management of property.
2. Scope of Services
Bloomhood Solutions Limited provides:

  • Strata corporation, HOA, and gated community management services

  • Administrative, operational, and financial support as set out in a separate Management Agreement

Exclusions: The Company does not provide real estate brokerage, sales, leasing, property valuation, or legal advice.
3. Authority and Decision-Making
The Company acts solely in an administrative and management capacity.
All strategic, operational, and financial decisions remain the responsibility of the client’s board, committee, directors, or ownership body. The Company is not liable for decisions made, instructions issued, or actions taken by the client or its governing body.
3A. Authority via Limited Power of Attorney
Where explicitly authorised in writing by the client, Bloomhood Solutions Limited may act as the client’s attorney-in-fact for the purpose of:

  • Submitting filings, forms, and reports to regulatory authorities or governing boards

  • Signing administrative documents necessary for the execution of management duties

  • Corresponding with contractors, service providers, or residents as required for operational management

This Limited Power of Attorney is strictly for administrative and management purposes and does not extend to financial, legal, or strategic decision-making. The client remains fully responsible for all decisions, approvals, and compliance obligations.
4. Regulatory Compliance
Bloomhood Solutions Limited is not a licensed real estate broker and is not regulated by the Real Estate Board of Jamaica (REB). Services provided fall outside the scope of REB regulation. Clients remain responsible for compliance with applicable laws, by-laws, and governing documents.
5. Client Obligations
Clients must:

  • Provide accurate and complete property and resident information

  • Make timely decisions when requested

  • Ensure compliance with applicable laws, by-laws, and governing documents

  • Pay management fees and expenses promptly

Failure to meet these obligations may affect service delivery and expose the client to operational risks.
6. Fees and Payment
Fees are charged per the applicable Management Agreement. All fees are exclusive of taxes unless stated.
Late or non-payment may result in suspension of services until the account is current.
7. Third-Party Service Providers
The Company may engage third-party contractors on behalf of clients. While care is taken in selection, the Company is not responsible for the performance or acts of third parties.
8. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for:

  • Indirect, incidental, or consequential losses

  • Losses arising from client or board decisions

  • Matters beyond reasonable control

Where liability is established, it is limited to fees paid for the relevant services.
9. Confidentiality
All client information is confidential. Disclosure occurs only if required by law or authorised by the client.
10. Intellectual Property
All materials, including reports, documents, and logos, are the property of Bloomhood Solutions Limited and cannot be reproduced without written permission.
11. Termination
Services may be terminated by either party in accordance with the Management Agreement.
12. Governing Law
These Terms are governed by and construed under the laws of Jamaica.
13. Amendments
The Company reserves the right to update these Terms. Continued engagement constitutes acceptance of updates.
